SECTEC LLC was founded by Jim Verdonik to create and disseminate information about issues of interest to growth companies.

SECTEC educational products include:

  • The ABCs of Growth Companies, a book written by Jim Verdonik, which addresses many issues encountered by growth companies from organization through sale or IPO.
  • Growing Pains. A newspaper column written by Jim Verdonik about issues encountered by growth companies. The column appears monthly in The Business Journal. Articles are available at www.triangle.bizjournals.com.
  • BoardStrategies.com, a website dedicated to business and legal issues related to Boards of Directors and Corporate Governance.
  • A Tale of Two Boards is an interactive educational CD-Rom written and narrated by Jim Verdonik for the Research Triangle Chapter of the National Association of Corporate Directors. The CD shows two Board meetings that address the same issues (one successfully and the other poorly) including: financial issues, personnel issues, compensation issues, conflict of interest issues and sale of company issues. He practices securities, venture capital and technology law. During his 25 years of legal practice in New York and North Carolina, Mr. Verdonik has participated in numerous public offerings, venture capital investments, mergers and acquisitions, private placements of securities and corporate partnership transactions on behalf of both public and private technology companies. Mr. Verdonik regularly advises Boards of Directors about their fiduciary duties and public companies about their disclosure obligations to the public securities markets and other SEC compliance matters. Mr. Verdonik currently writes a monthly column for The Business Journal about legal and business issues of interest to growing technology companies. Mr. Verdonik also wrote the current North Carolina state statute granting investors tax credits for investing in small technology companies based in North Carolina and has served on Advisory boards to two North Carolina governors. He has organized and incubator for start-up technology companies and a club for angel investors. He also is a member of the Boards of Advisors of many companies.
